Terms of Service

1) Acceptance

By accessing or using StudioSizer (the “Service”), you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you use the Service on behalf of an organization, you represent you have authority to bind that organization and “you” includes the organization.

2) Accounts & Security

  • You must provide accurate information and keep it up to date.
  • You are responsible for safeguarding your credentials and for activity under your account.
  • Notify us immediately of any unauthorized use or security incident.

3) Subscriptions, Trials, & Payments

  • We offer a 7-day free trial. At the end of the trial, your selected plan begins unless canceled.
  • Plans: $9/month (billed monthly) or $99/year (billed annually).
  • Payments are processed by Stripe; you authorize recurring charges until you cancel in your account or via support.
  • You can cancel at any time; benefits remain through the current paid period. Unless required by law, fees are non-refundable.
  • We may change prices with reasonable notice for future billing cycles.

4) License & Acceptable Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service. You will not: (a) reverse engineer, decompile, or attempt to access source; (b) use the Service to infringe or violate rights or law; (c) bypass or interfere with security; (d) resell, rent, or create a competing service using our IP; or (e) misuse resource limits or automate access in a way that degrades the Service.

5) Your Content

You retain ownership of images and other content you upload. You grant us a worldwide, non-exclusive license to host, process, and display that content solely to provide the Service. You represent you have all rights necessary to your content.

6) Intellectual Property

The Service (software, design, and the name “StudioSizer”) is our intellectual property and protected by law. No rights are granted except as expressly stated in these Terms.

7) Third-Party Services

The Service integrates with third parties (e.g., Stripe for payments, Resend for email). Your use of those services may be subject to their terms and policies. We are not responsible for third-party services.

8) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free.

9) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

10) Indemnification

You will defend, indemnify, and hold harmless StudioSizer from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your content or your violation of these Terms or applicable law.

11) Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or risk to the Service. Upon termination, your license ends; sections that should survive (payments due, indemnification, disclaimers, limitations) will survive.

12) Changes to Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice. By continuing to use the Service after changes take effect, you agree to the revised Terms.

13) Governing Law & Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflicts of law. The exclusive venue for disputes is the state or federal courts located in San Francisco County, California, and you consent to their jurisdiction.
